GENERAL TERMS AND CONDITIONS
TERMS
Standard terms of payment are net thirty days from date of invoice. Discounts, if granted, are as set forth on the invoice. Delinquencies are subject to a 1.5 percent charge per month.
MINIMUM BILLING
$150.00 net.
ORDERS AND QUOTATIONS
All orders are subject to acceptance by Echo Lighting, Inc. in the form of a written order acknowledgment, which is provided for verification by and protection of the distributor. Written quotations automatically expire 30 days after date of issue. Echo Lighting, Inc. reserves the right to withdraw a quotation any time prior to acceptance of the order.
HOLD ORDERS
On those orders specifying “Hold for Release”, “Delivery Date to Be Furnished Later”, etc. Production and procurement of components not normally stocked will be deferred until a definite release date is given. On such orders, Echo Lighting, Inc. reserves the right to revise delivery quotations, prices and selling policy according to the conditions in effect at the time of release.
SPECIAL ORDERS
On special or non-standard equipment, we reserve the right to quote and sell only to the distributor who assisted Echo Lighting, Inc. in the development of the business with a specific customer.
WARRANTY
Echo Lighting, Inc. agrees to correct any defect or defects in design, workmanship, or material in its products which may be discovered under normal use after proper installation, and within a period of one year from the date of shipment, by repairing or replacing, F.O.B. factory, the defective part or parts. Such correction shall constitute a complete satisfaction and discharge of any and all liabilities of Echo Lighting, Inc. in respect to said products. Echo Lighting, Inc. shall not be liable for any consequential damages. Under no circumstances will Echo Lighting, Inc.’s liability exceeds the contract price for goods claimed to be defective.
All L.E.D. products are protected by a 5-year warranty – 50,000-hour life expectancy; warranty valid for specified time period or for the span of the expectant lifetime of the product – provided that Echo Lighting, Inc.’s fixtures are installed by certified electricians. Extended warranty available upon request.
DELIVERY
Shipping dates are approximate and are based upon prompt receipt of all necessary information. Echo Lighting, Inc. shall not be liable for delays in delivery or failure to manufacture of delivery due to causes beyond its reasonable control, or due to acts of God, acts of the purchaser, acts of civil or military authority, fires, strikes, floods, epidemics, war, riots, delays in the transportation or vehicle shortages, or inability due to causes beyond its reasonable control to obtain necessary labor, materials, components, or manufacturing facilities.
RETURNS
Fixtures or parts will be accepted for return only when authorized by us in writing and within 90 days of date of invoice. All approved returns must be prepaid and will be subject to a 25 percent handling charge (minimum charge $50.00) plus cost of reconditioning and repackaging, which is deemed necessary to restore the goods to resalable form. We reserve the right to disallow credit for any equipment which, in our opinion, is not sellable without excessive repair. Products returned for defects in manufacturing or errors in shipment will be accepted at full credit and without service charge after our inspection.
